Rambad Inc – Terms and Conditions

These Terms and Conditions (the “Agreement”) are entered into by and between Rambad Inc, a Saskatchewan-based digital marketing agency (“Rambad”, “we”, “us”, or “our”), and the client who uses any of Rambad’s services or software (“Client”). By engaging with our services, websites, tools, or signing any related service agreement or scope document (referred to collectively as “Scope of Work” or “SOW”), Client acknowledges and agrees to be bound by the terms outlined below.
1. Scope of Work
The services Rambad agrees to perform are defined in the signed SOW. This may include, but is not limited to:
Facebook and Instagram advertising
Google Ads (Search, Display, YouTube)
Search Engine Optimization (SEO)
Social media management
Website or landing page creation
Marketing strategy and reporting
These Terms and Conditions apply to all services rendered by Rambad, even in the absence of a formal SOW, unless otherwise agreed upon in writing.
Note: All delivery timelines are estimates and subject to delays based on feedback turnaround, scope changes, or third-party dependencies.
2. Revisions and Change Orders
Any Client-requested change outside the agreed scope is treated as a Change Order. Rambad will evaluate feasibility and, if approved, share new estimated costs and timelines. Upon Client approval, the change will be added to the original SOW or outlined in a new addendum.
Change Orders may affect delivery timelines and milestones. Rambad is not obligated to make changes beyond what was agreed without written confirmation and additional fees, if applicable.
3. License & Intellectual Property
All original creative assets, designs, ad copy, landing pages, and reports developed by Rambad remain our property until full payment is received. Upon final payment:
Client receives a non-exclusive, non-transferable license to use deliverables for their intended business use.
Rambad retains the right to display anonymized versions of deliverables in portfolios or marketing materials.
Client is prohibited from sublicensing, reselling, reverse engineering, or modifying proprietary software or systems built or provided by Rambad.
4. Browser, Platform & Device Compatibility
All websites or landing pages are tested for compatibility with the latest versions of Chrome, Safari, Firefox, and Microsoft Edge. Mobile responsiveness is ensured on major iOS and Android devices. Compatibility with outdated browsers or unsupported platforms is not guaranteed.
5. Client Cooperation
Client agrees to provide all necessary materials, approvals, access credentials (e.g., ad accounts, analytics, website platforms), feedback, and content required to execute the project.
Delays in providing assets or approvals will result in adjusted timelines. Rambad is not responsible for delays caused by the Client or third-party vendors.
6. Payment Terms
(A) Project-Based Work:
Payment schedule will be outlined in the SOW. Typically, projects follow a 50% upfront, 50% before launch or delivery model unless otherwise agreed.
Late payments may result in:
Suspension of work
Delayed deliverables
Late fees of 2% per month on outstanding amounts
Termination of service after repeated non-payment
(B) Recurring Services:
For monthly retainers or ongoing digital marketing services:
Invoices are sent on the 25th of each month for the following month’s services.
Payments are due on the 1st of the month.
Failure to pay on time may lead to campaign pausing or account deactivation.
7. Cancellation & Termination
Both parties may terminate the agreement with 30 days' written notice.
If the Client terminates early, Rambad reserves the right to:
Invoice for any work completed to date
Retain any upfront deposits
Remove or disable access to any unpaid assets or campaigns
8. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business, marketing, and technical information exchanged during the relationship. This obligation continues for 12 months after termination of services.
9. Limitation of Liability
Rambad will make all reasonable efforts to ensure campaigns and services perform effectively. However, we do not guarantee specific results such as sales volume, ROI, or ranking positions due to the dynamic nature of digital platforms.
We are not liable for:
Loss of revenue, profits, or data
Platform outages or third-party service failures
Consequential or indirect damages
10. Service Pauses & Downtime
Client-requested pauses (e.g., during holidays, stock outages, etc.) must be communicated in writing with at least 7 days' notice. Pausing service does not cancel billing for active retainers unless explicitly agreed.
11. Platform & Account Ownership
All ad accounts (Meta, Google, etc.) must be owned by the Client and shared with Rambad via agency access. Rambad does not assume liability for previously existing campaigns, account bans, or policy violations outside our control.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Saskatchewan, Canada.
13. Updates to Terms
We reserve the right to update these Terms and Conditions at any time. Clients will be notified of significant changes via email or posted notice on www.rambad.ca. Continued use of our services constitutes acceptance of the updated terms.
